The Role

The Company Secretarial Assistant will support the Deputy Company Secretary in delivering high-quality company secretarial and governance services in line with statutory requirements and best practices. This is a hands-on role within a dynamic and fast-paced organization, offering exposure to a wide range of governance and compliance activities.

Key Responsibilities

  • Provide company secretarial support for Boards, Committees, Executive Meetings, and ad hoc meetings, including planning, agenda setting, and meeting paper preparation.
  • Attend meetings, take high-quality minutes, track actions to completion, and draft resolutions.
  • Maintain forward planners to ensure timely reporting and decision-making in line with corporate governance principles.
  • Ensure Board and Committee decision-making aligns with the Group Delegation of Authority Framework.
  • Advise on and ensure compliance with statutory and regulatory company secretarial and governance requirements.
  • Maintain and update electronic statutory records for all UK companies on SharePoint.
  • Oversee statutory filings, ensuring completion within required timeframes.
  • Support the maintenance of the Director Information Portal, Company Secretarial Tracker, and Board and Committee Teams site.
  • Assist with corporate governance projects and initiatives to enhance processes and compliance.

What You’ll Need

  • Educated to degree level, preferably working towards ICSA or Chartered Secretary qualification.
  • Minimum of one year's relevant experience in a company secretarial or governance role.
  • Strong understanding of corporate governance principles and regulatory requirements.
  • Excellent verbal and written communication skills.
  • High attention to detail and accuracy, with the ability to manage multiple priorities effectively.
  • Ability to build relationships at all levels and work collaboratively within a team.
  • Organizational and time management skills.
  • Ability to work independently and proactively.
  • Strong problem-solving skills and analytical thinking.
  • Professionalism and discretion when handling confidential matters.
